# Lamb Weston Holdings completes acquisition of remaining interests in European Joint Venture Lamb-Weston/Meijer

EAGLE, ID (March X, 2023) - Lamb Weston Holdings, Inc. (NYSE: LW), also known as "Lamb Weston" or the "Company", has announced the completion of its acquisition of the remaining shares in its European partnership with Meijer Frozen Foods B.V. The final payment for the transaction was €525 million in cash, with certain adjustments, and 1,952,421 shares of Lamb Weston common stock. The Company had previously announced its intention to buy the shares in October 2022\. With the completion of this transaction, Lamb Weston now fully owns Lamb-Weston/ Meijer, v.o.f., which was previously a 50/50 partnership between a wholly-owned subsidiary of Lamb Weston and Meijer Frozen Foods. This acquisition adds five more manufacturing facilities to the Company's global presence, including four in the Netherlands and one in the United Kingdom, as well as a sixth facility in Austria, in which the Company has a 75% stake. These facilities produce nearly two billion pounds (910,000 MT) of finished frozen products every year. While Lamb Weston was a 50% stakeholder in Lamb-Weston/Meijer, the Company reported its 50% share of profits in Equity Method Investment Earnings in its financial reports. Following the closing of the transaction, Lamb-Weston/Meijer will become a wholly-owned subsidiary of the Company, and the Company will fully incorporate Lamb-Weston/Meijer’s financial results in its own financial reports.
